These Terms of Service (“Terms”) govern your access to and use of the Popins website located at https://www.popins.ai, and any related products, software, applications, and services provided by Popins (collectively, the “Services”). The Services are operated by Popins, Inc., a Delaware corporation (“Popins,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
1.. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.
2. Description of the Services
Popins provides tools that help users ask questions and receive answers based on documents, files, and data they upload to or connect with the Services (“Customer Content”). The Services are designed to assist with information retrieval, organization, and execution support. Popins does not provide legal, financial, accounting, tax, or other professional advice. You are solely responsible for how you use the Services and any actions you take based on outputs generated by the Services.
3. Accounts and Registration
To access certain features, you may be required to create an account.
You agree to:
provide accurate, current, and complete information;
maintain the confidentiality of your account credentials; and
promptly notify us of any unauthorized use or security breach.
You are responsible for all activity that occurs under your account.
4. Customer Content and Ownership
You retain all ownership rights to your Customer Content. By using the Services, you grant Popins a limited, non-exclusive, worldwide, royalty-free license to access, store, process, and analyze Customer Content solely to provide, maintain, and improve the Services, including generating answers, reminders, summaries, and other outputs at your direction. We do not claim ownership of your Customer Content.
5. AI-Assisted Outputs and User Responsibility
The Services use automated and machine-assisted systems to generate outputs based on Customer Content.
You acknowledge and agree that:
outputs may be incomplete, outdated, or inaccurate;
outputs are not guarantees or factual assertions; and
you are responsible for reviewing and verifying outputs before relying on them or taking action.
Popins provides assistance you remain responsible for decisions and actions taken in your business.
6. Third-Party Services
The Services may connect to third-party platforms or services (such as email providers, cloud storage providers, or other tools). Your use of third-party services is governed by their own terms and policies. Popins does not control and is not responsible for third-party availability, functionality, security, or data practices.
7. Acceptable Use
You agree not to:
violate any applicable law or regulation;
upload malicious code or harmful material;
attempt to gain unauthorized access to systems or data;
scrape, crawl, or reverse engineer the Services;
use the Services to build or support a competing product;
impersonate others or misrepresent your identity; or
interfere with or disrupt the Services.
Popins may suspend or terminate access for violations of this section.
8. Fees, Billing, and Cancellation
Certain features of the Services may require payment.
If you subscribe:
fees are billed in advance and are non-refundable except as required by law;
you authorize Popins to charge your selected payment method on a recurring basis;
you may cancel your subscription at any time, effective at the end of the current billing period.
We may change pricing with reasonable notice.
9. Intellectual Property
Except for Customer Content, all intellectual property rights in the Services, including software, designs, logos, and trademarks, are owned by Popins or its licensors. You may not copy, modify, distribute, or exploit our intellectual property without prior written permission.
10. Feedback
If you provide feedback, suggestions, or ideas regarding the Services, you grant Popins a perpetual, irrevocable, royalty-free right to use them without restriction or compensation.
11. Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POPINS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POPINS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. POPINS’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT PAID BY YOU TO POPINS IN THE SIX (6) MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain limitations, so some provisions may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Popins and its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of:
your use of the Services;
your violation of these Terms; or
your Customer Content.
14. Suspension and Termination
Popins may suspend or terminate your access to the Services at any time if you violate these Terms or if necessary to protect the Services. Upon termination, your right to use the Services ends. We may delete Customer Content after a reasonable period, subject to applicable law.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-laws principles.
16. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent unauthorized use, disclosure, or misuse of intellectual property or data.
YOU WAIVE THE RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.
17. Changes to These Terms
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
